Number of Directors: The board shall consist of three to seven directors, as
provided in the Declaration.

Nomination of Directors: Except to respect to directors selected by the Class "B"
Member, nominations for election to the board shall be made by a nominating
committee.  The nominating committee shall consist of a chairman, who shall be a
member of the board, and three or more members or representatives of members.  
Nominations shall also be permitted from the floor.  All candidates shall have a
reasonable opportunity to communicate their qualifications to the members and to
solicit votes.

Election Procedures: Each voting member shall cast all votes assigned to the lots
in the neighborhood which it represents for each position to be filled.  There shall be
no cumulative voting.  That number of candidates equal to the number of positions to
be filled receiving the greatest number of votes shall be elected.  Directors may be
elected to serve any number of consecutive terms.  

Officers: The officers of the Association shall be a President, Vice President,
Secretary, and Treasurer.  The President and Secretary shall be elected from among
the members of the board: other officers may, but need not be members of the board.
 The board may appoint such other officers, including one or more Assistant
Secretaries and one or more Assistant Treasurers, as it shall deem desirable, such
officers to have such authority and perform such duties as the board prescribes.  
Any two or more offices may be held by the same person, except the offices of
President and Secretary.  

Election and Term of Office: The board shall elect the officers of the Association
at the first meeting of the board following each annual meeting of the voting
members, to serve until their successors are elected.  Each voting member and
officer serves a term of one year and is able to be elected for consecutive terms
with no limits.  Each board member serves a term of two years following the first
year of the removal of the Class B Declarant and is able to be elected for
consecutive terms with no limit.

Powers and Duties: The President shall be the chief executive officer of the
association.  The Treasurer shall have primary responsibility for the preparation of
the budget as provided for in the Declaration and may delegate all or part of the
preparation and notification duties to a finance committee, management agent, or both.

The election process for Voting Members begins in July and ends in August. Each neighborhood (15 in all) within Barkley Estates will elect 1
Voting Member and 1 Alternate Voting Member.  Each property owner is asked to nominate 1 resident to serve as a Voting Member for their
respective neighborhood (be sure that who you nominate is willing to accept the nomination – self nomination is encouraged).  After the nomination
process, each property owner shall be entitled to cast one equal vote per lot owned in the neighborhood for each position.  The candidate for each
position who receives the greatest number of votes shall be elected to serve a term of one year and until a successor is elected.  These newly
elected Voting Members will be responsible for casting all votes attributable to lots owned by Class A members in their neighborhoods to elect any
vacant board positions for the current year.  Voting Members should also be prepared to take an active roll in the community, and should make
themselves available to attend meetings and serve as ambassadors for their neighborhoods. These Voting Members are the people that cast votes
for each neighborhood; they are your voice in the community!
At the Annual Meeting of the Community and Voting Members in September, Voting Members will cast their votes for any open board positions. Any
Resident can volunteer for a board position; just make your intentions known to the Nominating Committee via the web site or by mail.  Nominations will
be taken from the floor as well.   Elected Board Members will serve a 2 year term.  Once the Board Members are elected, the process of officer
elections begins.  Officers will be elected  at the first Organizational Meeting of the new board.  Anyone in the community can volunteer for officer
positions, except for the positions of President and Secretary. These two positions must be filled by Board Members.
It is important to remember that the reason we have a neighborhood association and elect a board is for them to represent the views of its members.  
This holds true for parish government in the form of a parish council, as well as state and federal levels in the form of a legislature.  Boards, councils,
etc. get to hear the voices of their constituents- those that are vocal and those that are not so vocal.  They can weigh the pros and cons of an issue
and usually are more informed about the issue and its impact.  They can review laws, history, and precedents; they take the information gathered at
public meetings and sort through the issues without the sometimes heightened emotional tones that may occur at some meetings.  Some individuals
never voice their opinions for fear of reprisals or because they did not want to be confrontational or disagree with a neighbor’s opinion. These
individuals usually talk to board members quietly on a one-on-one basis.  Because most issues affecting our community have many shades of gray,
we depend on our board to weigh the issues and make decisions that benefit not just a few, but the entire neighborhood and not for a short time, but
for the long term to ensure the sustainability of both the association and our community.
