Voting: The voting rights of the members shall be as set forth in the Declaration
and in the By-Laws, and such voting rights provisions are specifically
incorporated by this reference.  The Association shall have two classes of
membership, Class "A" and Class "B", Declarant (Marrero Land).  Class "A"
members shall have one vote for each lot in which they hold the interest required
for membership.  Class "B" member shall have the right to disapprove actions of
the board and commitees as provided in Section 3.19 of the By-Laws.

Proxies: Voting members may not vote by proxy but only in person or through
their designated alternates; provided, however, any voting member who is only
entitled to cast the vote(s) for his own lot(s) pursuant to the Declaration may cast
such vote in person or by proxy until such time as the board first calls for election
of a voting member to represent the neighborhood of which the lot is a part.

Number of Directors: The board shall consist of three to seven directors, as
provided in the Declaration.

Number of Voting Members: Voting members shall consist of a total of
fifteen, representing specified neighborhoods with a total of fifteen alternates
elected.

Neighborhoods and Voting Members: Every lot shall be located within a
Neighborhood within the Community.  The owners within each Neighborhood shall
elect a Voting Member who shall be responsible for casting all votes attributable
to lots owned by Class "A" members in the Neighborhood on all Association
matters requiring a membership vote, except as otherwise specified in the
Declaration or the By-Laws.  In addition, each Neighborhood shall elect an
alternate voting member who shall be responsible for casting such votes in the
absence of the Voting Member.  The Voting and Alternate members shall be
elected on an annual basis, either by written ballot or at a meeting of the Class
"A" members within such Neighborhood.    

Nomination of Directors: Except to respect to directors selected by the Class
"B" Member, nominations for election to the board shall be made by a nominating
committee.  The nominating committee shall consist of a chairman, who shall be a
member of the board, and three or more members or representatives of members.
 Nominations shall also be permitted from the floor.  All candidates shall have a
reasonable opportunity to communicate their qualifications to the members and to
solicit votes.

Election Procedures: Each voting member shall cast all votes assigned to the
lots in the neighborhood which it represents for each position to be filled.  There
shall be no cumulative voting.  That number of candidates equal to the number of
positions to be filled receiving the greatest number of votes shall be elected.  
Directors may be elected to serve any number of consecutive terms.  

Officers: The officers of the Association shall be a President, Vice President,
Secretary, and Treasurer.  The President and Secretary shall be elected from
among the members of the board: other officers may, but need not be members of
the board.  The board may appoint such other officers, including one or more
Assistant Secretaries and one or more Assistant Treasurers, as it shall deem
desirable, such officers to have such authority and perform such duties as the
board prescribes.  Any two or more offices may be held by the same person,
except the offices of President and Secretary.  

Election and Term of Office: The board shall elect the officers of the
Association at the first meeting of the board following each annual meeting of the
voting members, to serve until their successors are elected.  Each voting member
and officer serves a term of one year and is able to be elected for consecutive
terms with no limits.  Each board member serves a term of two years following
the first year of the removal of the Class B Declarant and is able to be elected for
consecutive terms with no limit.

Powers and Duties: The President shall be the chief executive officer of the
association.  The Treasurer shall have primary responsibility for the preparation
of the budget as provided for in the Declaration and may delegate all or part of the
preparation and notification duties to a finance committee, management agent, or
both.
